This Privacy Policy describes how AgentGraph Inc., a Delaware Corporation ("AgentGraph"), collects, uses, stores, and discloses information in connection with its platform and related services connecting companies ("Clients") and AI engineers ("Engineers"), collectively referred to as "Users." By creating an account or using AgentGraph's website, platform, or services (the "Services"), the User agrees to the terms of this Privacy Policy. Capitalized terms used and not otherwise defined herein shall have the meanings assigned to them in the AgentGraph Platform User Agreement.
1. SCOPE OF THIS PRIVACY POLICY
1.1 Applicability. This Privacy Policy applies to all personal information and usage information collected by AgentGraph from Users through the Services, including information collected during account creation, use of the platform, communications, transactions, and interactions between Users occurring on or through AgentGraph.
1.2 Relationship to User Agreement. This Privacy Policy forms part of, and is incorporated into, the AgentGraph Platform User Agreement, and shall be interpreted consistently with that Agreement. In case of conflict, the User Agreement shall control.
2. INFORMATION AGENTGRAPH COLLECTS
2.1 Information Provided by Users. AgentGraph collects information that Users voluntarily provide during account registration, profile creation, communications on the platform, project postings, Statements of Work, payment activities, and support interactions. This information may include names, contact information, company affiliations, professional profiles, project information, payment information (processed through third-party processors), messages, uploaded materials, and other content necessary for use of the Services.
2.2 Information Collected Automatically. AgentGraph collects information automatically when Users access or use the Services, including IP addresses, device data, browser types, operating systems, usage logs, access times, pages viewed, and other technical and usage-related information. AgentGraph may use cookies or similar technologies to maintain platform functionality and improve User experience.
2.3 Information from Third Parties. AgentGraph may receive information about Users from third parties to the extent necessary to operate the platform or verify identity, including payment processors, authentication providers, communication tools, or integrations that Users authorize.
3. USE OF INFORMATION
3.1 Provision of Services. AgentGraph uses collected information to operate, maintain, and provide the Services, facilitate marketplace interactions, match Clients and Engineers, support project execution, and administer Statements of Work.
3.2 Communication. AgentGraph may use User information to communicate regarding accounts, transactions, security alerts, support inquiries, modifications to the User Agreement, and other notices related to the Services.
3.3 Platform Improvement. AgentGraph may analyze information to improve performance of the Services, develop new features, monitor usage patterns, diagnose technical issues, and enhance User experience.
3.4 Legal and Compliance Obligations. AgentGraph may use and retain User information as necessary to comply with applicable laws, enforce rights under the User Agreement, resolve disputes, maintain security, and protect the rights and safety of Users and AgentGraph.
4. DISCLOSURE OF INFORMATION
4.1 Service Providers. AgentGraph may disclose User information to third-party service providers assisting with hosting, data storage, authentication, analytics, payment processing, communication, or security, provided such parties use the information solely to support AgentGraph.
4.2 Other Users. To facilitate an Originated Relationship or performance under a Statement of Work, limited information may be made available to other Users, consistent with the functionality of the Services.
4.3 Legal Requirements. AgentGraph may disclose information if required by law, subpoena, legal process, government request, or to protect the rights, property, or safety of AgentGraph, Users, or the public.
4.4 Business Transactions. In connection with a merger, acquisition, financing, or sale of all or part of AgentGraph’s assets, User information may be transferred to the acquiring or successor entity, subject to continued protection consistent with this Privacy Policy.
5. MOBILE AND SMS INFORMATION
5.1 Mobile Messaging. If you provide your mobile phone number and opt in to receive text (SMS/MMS) messages from AgentGraph, we collect and use your mobile number to operate and support that messaging program, as described in the AgentGraph SMS Messaging Terms.
5.2 No Sharing of Mobile Information. We do not sell, rent, or share your mobile phone number or SMS opt-in information with third parties or affiliates for their own marketing or promotional purposes. Mobile information collected as part of the messaging program is not shared for such purposes with anyone. We may share your mobile number only with vendors that help us deliver the messaging service (such as messaging platform and telecommunications providers), and only to the extent necessary for them to provide that service to us.
5.3 Message Frequency. Message frequency varies and depends on your account activity and the messaging programs you enroll in. Some messages, such as verification codes, are sent only in response to actions you take.
5.4 Message and Data Rates. Message and data rates may apply. AgentGraph does not charge for the messages, but your mobile carrier's standard message and data rates apply to messages sent and received.
5.5 Opt-Out. You may stop receiving text messages at any time by replying STOP to any message, or obtain help by replying HELP, as further described in the AgentGraph SMS Messaging Terms.
6. COOKIES AND TRACKING TECHNOLOGIES
6.1 Cookies. AgentGraph may use cookies or similar technologies to authenticate Users, maintain sessions, improve functionality, analyze platform usage, or enhance User experience. Users may adjust browser settings to disable cookies, although certain features of the Services may not function properly if cookies are disabled.
7. DATA SECURITY
7.1 Security Measures. Consistent with Section 7.3 of the AgentGraph Platform User Agreement, AgentGraph implements reasonable administrative, technical, and physical safeguards to protect User information; however, AgentGraph cannot guarantee absolute security, and Users are responsible for maintaining the confidentiality of access credentials.
8. DATA RETENTION
8.1 Retention Period. AgentGraph retains User information for as long as necessary to provide the Services, comply with legal obligations, enforce rights under the User Agreement, resolve disputes, or support legitimate business purposes. Upon account termination, certain information may be retained as described in Section 8.4 of the AgentGraph Platform User Agreement.
9. USER RIGHTS
9.1 Access and Corrections. Users may access or update certain account information directly through the platform. Users may contact AgentGraph to request access, corrections, or deletion of personal information, subject to legal or contractual limitations.
9.2 Consent and Preferences. Users may modify communication preferences or withdraw consent to certain data uses, except where such processing is necessary for the provision of the Services or compliance with law.
10. CONFIDENTIALITY
10.1 Confidential Information. Consistent with Section 7.1 of the AgentGraph Platform User Agreement, Users must treat other Users' and AgentGraph's confidential information as confidential and may use such information solely for legitimate use of AgentGraph. AgentGraph likewise treats User information as confidential except as permitted under this Privacy Policy or the User Agreement.
11. GOVERNING LAW
11.1 Delaware Law. This Privacy Policy, and any disputes arising from or relating to it, shall be governed by the laws of the State of Delaware, without regard to conflict-of-law rules, consistent with Section 9.4 of the AgentGraph Platform User Agreement.
12. CHANGES TO THIS PRIVACY POLICY
12.1 Modification. AgentGraph may modify this Privacy Policy in accordance with the modification procedures set forth in Section 9.2 of the AgentGraph Platform User Agreement. Continued use of the Services after notice of changes constitutes acceptance of the updated Privacy Policy.
